These Terms and Conditions govern the supply of cleaning, security and facilities management services by DSJ Facilities Limited ("we", "us", "our") to our clients ("you", "your") in the United Kingdom. By accepting a quote or entering into a service agreement with us, you agree to these terms.

1. Services

We provide cleaning, security and facilities management services as described in the written quotation, service schedule or contract agreed between us. Any changes to the services must be agreed in writing by both parties.

2. Quotations and contracts

Quotations are valid for 30 days unless otherwise stated. A contract is formed when you accept our quotation in writing or when we begin delivering the services. The scope, frequency, price and duration of the services will be set out in the quotation or service agreement.

3. Access and site conditions

You agree to provide safe and reasonable access to the premises at the agreed times, including any keys, access codes or parking arrangements required. You are responsible for ensuring the site is safe for our staff and for informing us of any hazards.

4. Charges and payment

Charges are set out in the quotation or service agreement. Unless otherwise agreed, invoices are issued monthly and are payable within 14 days of the invoice date. We reserve the right to charge interest on overdue amounts at the rate permitted by the Late Payment of Commercial Debts (Interest) Act 1998.

5. Cancellation and changes

Either party may terminate a regular service by giving not less than 30 days' written notice, unless a different notice period is stated in the service agreement. One-off or short-notice bookings may be subject to cancellation charges if cancelled within 48 hours of the scheduled start time.

6. Liability

We carry appropriate insurance for the services we provide. Our liability for any claim arising from our services is limited to the amount paid for the services giving rise to the claim, except where liability cannot be limited by law. We are not liable for any indirect, consequential or loss of profit claims.

7. Confidentiality

We will treat information about your business and premises as confidential and will only use it for the purpose of providing the agreed services. We will ensure our staff and subcontractors comply with this obligation.

8. Data protection

We process personal data in accordance with our Privacy Policy and applicable UK data protection law. We will only use personal information supplied to us for the purposes of providing the services and managing our relationship with you.

9. Subcontracting

We may use carefully selected subcontractors or staff to deliver services, but we remain responsible for the quality and performance of the work carried out on our behalf.

10. Governing law

These Terms and Conditions are governed by the laws of England and Wales. Any dispute arising from them shall be subject to the exclusive jurisdiction of the courts of England and Wales.
